Informal Negotiation Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute informally for at least 30 days following written notice of the dispute.

Binding Arbitration If informal resolution fails, disputes shall be resolved by binding arbitration in Richardson, Texas, conducted in the English language, under the rules of the American Arbitration Association. One (1) arbitrator shall preside. The governing law shall be the substantive law of Texas.

Exceptions The following disputes are not subject to arbitration and may be brought directly in court:

  • Claims related to intellectual property rights

  • Claims involving theft, piracy, or invasion of privacy

  • Claims for injunctive relief
